Welcome to Pernoex. These Terms of Service (“Terms”) govern your access to and use of Pernoex's platform, services, and website. By creating an account or using our services, you agree to be bound by these Terms.

Please read these Terms carefully. They include important information about your legal rights, including limitations on liability and a binding arbitration clause.

1. Acceptance of Terms

By accessing or using Pernoex, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using Pernoex on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Pernoex provides a conversational knowledge platform that allows you to transform your documentation, guides, and other content into an AI-powered assistant. Our services include:

  • Web crawling and content ingestion
  • Document parsing and indexing
  • Conversational AI responses powered by your content
  • Embeddable widget for your websites and applications
  • Dashboard for managing projects, content, and analytics

3. Account Registration

To use Pernoex, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activity under your account

You must notify us immediately if you suspect unauthorized access to your account.

4. Subscriptions and Payment

Billing

Paid subscriptions are billed in advance on a monthly basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Pricing

Subscription fees are based on your selected plan. We reserve the right to change pricing with 30 days' notice. Price changes will take effect at your next billing cycle.

Refund Policy

All payments are final. We do not offer refunds for any subscription fees, token packs, or other charges. This includes partial-month refunds if you cancel mid-cycle. We encourage you to evaluate your needs carefully before subscribing.

Token Usage

Your plan includes a monthly token allocation. Tokens are consumed when users interact with your AI assistant. Unused tokens do not roll over to the next billing period. If you exceed your allocation, you may purchase additional token packs or upgrade your plan.

5. Your Content

Ownership

You retain all rights to content you upload or provide to Pernoex (“Your Content”). We do not claim ownership of your documentation, files, or any other materials you submit.

License to Pernoex

By uploading content, you grant Pernoex a limited, non-exclusive license to process, store, and use Your Content solely to provide our services to you. This license terminates when you delete Your Content or close your account.

Your Responsibilities

You represent and warrant that:

  • You have all necessary rights to upload and use Your Content
  • Your Content does not violate any laws or third-party rights
  • Your Content does not contain malicious code or harmful material

6. Acceptable Use

You agree not to:

  • Use Pernoex for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Use our services to harass, abuse, or harm others
  • Scrape, crawl, or collect data from Pernoex without permission
  • Resell or redistribute our services without authorization
  • Use our services to build a competing product

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual Property

Pernoex and its licensors retain all rights to the platform, including software, design, trademarks, and documentation. These Terms do not grant you any rights to use our branding or intellectual property except as necessary to use our services.

8. Third-Party Services

Pernoex may integrate with or link to third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk.

9. Disclaimer of Warranties

PERNOEX IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

AI-generated responses are based on your provided content and may not always be accurate. You are responsible for verifying the accuracy of information provided through Pernoex before relying on it.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERNOEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.

Our total liability for any claims arising from these Terms or your use of Pernoex shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Pernoex, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, Your Content, or your violation of these Terms.

12. Termination

You may cancel your account at any time through your dashboard settings. We may suspend or terminate your account if you violate these Terms or for any other reason with or without notice.

Upon termination, your right to use Pernoex ends immediately. We may delete Your Content within 30 days of account closure. Sections that by their nature should survive termination will remain in effect.

13. Dispute Resolution

Any disputes arising from these Terms or your use of Pernoex shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, United States.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of Pernoex after changes take effect constitutes acceptance of the revised Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Pernoex regarding your use of our services.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
